Terms of Service

The rules for using this website.

Draft for review. Highlighted items are still to be filled in, and both pages should be read by a lawyer before launch.

The short version

  • This site describes our services. Our work for a brand is covered by a separate signed agreement, which wins if the two disagree.
  • Every brand, store, person and number in our examples is made up.
  • We represent brands, not stores. Stores never pay us.
  • We can’t promise that any store will carry or reorder a product.
  • New Jersey law applies.

1. Agreeing to these terms

These terms apply to your use of the {{brandName}} website, which is run by {{brandName}} (“we”, “us”). By using the site or sending us a form, you agree to them. If you’re using the site for a company, you agree for that company too. If you don’t agree, please don’t use the site.

2. What this site is

This site describes how we work and what we charge. Nothing on it is an offer to provide services. We work for a brand only under a separate written agreement that we both sign, and if that agreement and this site say different things, the agreement controls. Prices and terms on the site may change before you sign.

3. Examples are made up

The brands, stores, people, emails, statements and numbers shown in our examples are fictional. They show how our work looks. They aren’t real customers, real results or a promise of results.

4. Who we represent

We represent the brands that hire us and are paid by them. We don’t act for any store, we don’t screen or recommend products on a store’s behalf, and stores never pay us. Whether to carry, order or reorder a product is always the store’s own decision, so we can’t guarantee that any store will say yes or keep buying.

5. What you send us

  • Please make sure what you send is accurate and that you’re allowed to share it.
  • Don’t send us anything you’re not allowed to share, such as data that a distributor agreement says you must keep private, unless that agreement allows it.
  • We use what you send as described in our Privacy Policy.
  • If you send us ideas or feedback about our services, we may use them without owing you anything.

6. Using the site

Please don’t:

  • copy or collect content from the site with bots or scrapers;
  • try to break into, overload or disrupt the site;
  • send false information or pretend to be someone else;
  • use the site to send spam or anything unlawful.

We may block access for anyone who does.

7. Our content and other companies’ names

The text, design, graphics and code on this site belong to us or the people who license them to us. You may view and share pages for your own business use, but please don’t copy or reuse them otherwise without our permission.

UNFI, KeHE, QuickBooks, Xero, Google Sheets and other names on this site belong to their owners. We name them to describe the reports and tools we work with. It doesn’t mean they endorse us or partner with us.

9. Information on this site

We work to keep the site accurate and up to date, but it’s provided as is. Information on it is general and isn’t legal, tax or financial advice. We don’t promise the site will always be available or free of errors.

10. Limits on our liability

We aren’t liable for indirect or consequential losses, such as lost profits, that come from using this website. Our total liability for any claim about the website is limited to $100.

These limits don’t apply to personal injury, fraud, gross negligence or willful misconduct, or to anything else New Jersey law doesn’t allow us to limit. They also don’t apply to work under a signed agreement, which has its own terms.

11. Governing law

These terms are governed by the laws of the State of New Jersey. Any dispute about them or the site will be heard in the state or federal courts located in New Jersey.

12. Changes

We may update these terms. When we do, we’ll change the date at the top, and the new terms apply from then on. We may also change or remove parts of the site at any time.

13. Other terms

These terms and our Privacy Policy are the whole agreement about your use of the site. If a court finds part of them unenforceable, the rest still applies. If we don’t enforce a term right away, we can still enforce it later.
